1. Agreement

By accessing or using BidsBite services, you agree to these Terms of Service. If you don't agree, please don't use our services. These terms form a binding agreement between you and BidsBite LLC.

2. Services

BidsBite provides:

• SaaS products — subscription-based software (separate product terms may apply).
• Marketing services — SEO, paid media, brand work, and analytics, governed by a separate Statement of Work (SOW).
• Website content — informational pages, blog posts, and resources.

3. Your account

You're responsible for keeping your login credentials secure and for all activity under your account. Notify us immediately at security@bidsbite.com if you suspect unauthorized access.

4. Acceptable use

You agree not to:

• Use our services for illegal purposes or to harm others
• Reverse engineer, hack, or attempt to bypass security
• Send spam, malware, or abusive content through our platforms
• Misuse our intellectual property

5. Payment

Paid services are billed monthly or annually in advance. All fees are non-refundable except as required by law or explicitly stated in your SOW. We reserve the right to suspend service for non-payment after 14 days.

6. Intellectual property

We retain all rights to our products, code, designs, and content. Work product delivered under a marketing engagement transfers to you upon full payment, except for our pre-existing tools, frameworks, and templates.

7. Confidentiality

Both parties agree to keep confidential information confidential. NDAs are available upon request and we sign yours if reasonable.

8. Warranties & disclaimers

We do our work with care and skill. That said, services are provided "as is" without warranties of any kind, express or implied. We don't guarantee specific marketing results — outcomes depend on many factors beyond our control.

9. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim. We're not liable for indirect, consequential, or punitive damages.

10. Termination

Either party may terminate with 30 days' written notice. We may suspend service immediately for material breach. Upon termination, you'll be billed for work completed and provided final deliverables within 14 days.

11. Governing law

These Terms are governed by the laws of the State of Delaware, USA. Disputes will be resolved in the federal or state courts of Delaware.

12. Changes

We may update these Terms. Material changes will be announced via email 30 days before they take effect.
